License terms

KLATCH SOFTWARE LICENSE AGREEMENT

DRAFT FOR REVIEW. Before selling, replace [LICENSOR] with the legal seller (a person or a registered company) and
[JURISDICTION] with the governing law, and have a lawyer read it.

This agreement is between you (the person or organisation that bought a license, "you") and [LICENSOR] ("we").
By installing or using Klatch ("the Software") you accept it. If you do not accept it, do not install the Software.

1. License
When you buy a license we give you a non-exclusive, non-transferable right to install and use the Software:
a) on one production server, for your own business or personal use, for as long as you keep to this agreement;
b) plus copies on other machines you control that are used only for testing, staging or backup.
Your employees and contractors may use it on your behalf. You are responsible for what they do with it.

2. Updates
Your license includes the updates we publish for one year from purchase. After that you may buy another year of
updates. A version you received while your updates were active stays licensed to you without time limit.

3. What you may not do
a) Sell, rent, lend, sublicense, publish or give the Software, or a copy of it, to anyone else.
b) Offer the Software, or a service built mainly on it, to third parties as a hosted or managed service.
c) Reverse engineer, decompile or disassemble the Software, except to the extent the law allows it despite
this clause.
d) Remove, disable or work around the license check, or share your license key.
e) Remove notices of ownership or of third-party licenses.

4. Ownership
We own the Software and all rights in it. You own your data: your code, chats, files, settings and memory stay
on your server. We do not receive them, except the license key and an instance id sent to our payment and
licensing provider (Dodo Payments) to check your license.

5. Third-party services and components
The Software sends your prompts and code to the AI providers you choose (for example Anthropic, OpenAI or
Google) and to the tools you connect. Your use of those services is governed by your agreements with them, and
you are responsible for following their terms. Open-source components included in the Software are licensed
under their own licenses, listed in the file THIRD-PARTY-NOTICES.

6. Your responsibility for agents
AI agents can make mistakes. The Software asks for your approval before agents push code, send email, issue
refunds or restart services, but you decide what to approve and you are responsible for the results.

7. Refunds
You may ask for a full refund within 14 days of purchase. A refund ends your license.

8. Ending the license
This license ends automatically if you break it. When it ends you must stop using the Software and delete it.
Sections 4, 5, 9, 10 and 11 continue after it ends.

9. No warranty
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10. Limit of liability
TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES,
OR FOR LOST PROFITS, DATA OR BUSINESS, ARISING FROM THE SOFTWARE OR ITS USE, AND OUR TOTAL LIABILITY IS LIMITED TO
THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE MONTHS BEFORE THE CLAIM.

11. General
This agreement is governed by the laws of [JURISDICTION]. If a part of it cannot be enforced, the rest still
applies. It is the whole agreement between us about the Software.
